Terms and Licensing Agreement

License Overview

This document outlines the terms and conditions governing the use of design assets, deliverables, and intellectual property provided by Mario Designs Limited. Please read this agreement carefully before using our services or products.

Scope of License

Mario Designs grants you a non-exclusive, non-transferable license to use the delivered design assets according to the specific project terms agreed upon in your contract or order form. The exact scope of usage rights will be defined in your specific service agreement.

Ownership Rights

• Intellectual Property. All design assets, including drafts and concepts, remain the intellectual property of Mario Designs Limited until full payment is received.
• Transfer of Rights. Upon full payment, you receive rights as specified in your specific agreement (which may be limited usage rights or full ownership, depending on your contract).
• Portfolio Rights. Mario Designs retains the right to display completed work in its portfolio, unless explicitly agreed otherwise in writing.

Permitted Uses

• Use of the delivered assets for the specific business purposes outlined in your contract
• Storage and archiving of the assets for future reference
• Reproduction of the assets on specified media as outlined in your agreement

Prohibited Uses

• Transferring, selling or sublicensing the design assets to third parties
• Modifying the delivered assets without prior written permission
• Using the assets for purposes beyond those specified in your agreement
• Creating derivative works based on the assets without authorization

Copyright Notice

All design assets are protected by copyright laws. Unauthorized use, reproduction, or distribution may result in legal action. Copyright protection applies to all deliverables, including but not limited to illustrations, graphics, logos, print designs, and digital assets.

Payment Terms

• Full payment is required as specified in your service agreement
• Licensing rights are granted only upon receipt of full payment
• Late payments may result in suspension of license rights

Termination

This license may be terminated if you breach any terms of this Agreement. Upon termination, you must cease all use of the licensed assets and return or destroy all copies as directed by Mario Designs.

Limitation of Liability

Mario Designs shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the design assets. In no event shall our liability exceed the amount paid by you for the specific assets in question.

Governing Law

This Agreement shall be governed by the laws of Kenya, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts of Nairobi, Kenya.

Changes to Terms

Mario Designs reserves the right to modify these terms at any time. Updated terms will be posted on our website, and will be effective immediately upon posting. It is your responsibility to review these terms periodically.
